Brand Authorization Agreement

1. Parties Involved

• Licensor (Brand Owner): Cixi Hanque Electric Appliance Co., Ltd. (a legally registered electrical equipment manufacturing enterprise, hereinafter referred to as "the Licensor")
• Licensee (Authorized Reseller): Handan Taoli Advertising Co., Ltd. (a legally registered commercial entity, hereinafter referred to as "the Licensee")

2. Authorized Brand & Products

• Authorized Brand: HANQUEELECTRIC (corresponding to the Licensor’s domestic brand "慈雀 / HANQUE")
• Authorized Product Line: The full range of HANQUEELECTRIC-branded products, including (but not limited to):
  • Electric fans (standard fans, tower fans, circulation fans)
  • Air conditioner fans
  • Heaters
  • Dehumidifiers

3. Authorization Scope

1. Geographic Territory: Exclusive to the United States market (all 50 states and territories under U.S. jurisdiction)
2. Sales Channels:
   • Online channel: This independent e-commerce website (operated by the Licensee)
   • Offline channels: Physical retail partners designated by the Licensee within the U.S. (subject to prior written notification to the Licensor)
3. Authorized Rights:
   • Promote, market, and sell the authorized HANQUEELECTRIC products
   • Provide after-sales services (warranty, return & exchange, technical support) for the sold products in accordance with the Licensor’s standards

5. Licensee’s Obligations

1. Price Compliance: Maintain online sales prices of HANQUEELECTRIC products on this website no lower than the minimum retail price (MRP) stipulated in the Licensor’s official price list (updated quarterly by the Licensor).
2. Product Authenticity: Only sell  genuine HANQUEELECTRIC products supplied directly by the Licensor; no counterfeit, refurbished, or non-authorized sourced products shall be listed.
3. Brand Consistency: Use HANQUEELECTRIC brand assets (logos, product images, descriptions) strictly in accordance with the Licensor’s Brand Guidelines (provided separately); no unauthorized modification, distortion, or misleading use of brand materials is permitted.
4. After-Sales Compliance: Provide after-sales services consistent with the Licensor’s public commitments (e.g., standard 1-year product warranty, 30-day return window for unopened items) and retain complete service records for the Licensor’s review.
5. Transparency: Clearly display this Authorization Agreement (or a summary of its key terms) in the "About Us" or "Brand Authenticity" section of the independent website, for consumer and platform review.

6. Licensor’s Rights

1. The Licensor reserves the right to monitor the Licensee’s sales behavior, price compliance, and brand use (e.g., regular audits of the website, sales records) during the authorization term.
2. The Licensor may issue written notices to require the Licensee to correct non-compliant behaviors (e.g., price undercutting, improper brand use) within 7 business days.

7. Authorization Restrictions

1. The Licensee shall not sub-authorize any third party to use the HANQUEELECTRIC brand or sell the authorized products, unless approved in writing by the Licensor.
2. The Licensee shall not promote HANQUEELECTRIC products with misleading claims (e.g., "lifetime warranty" "industry-best performance" that exceed the Licensor’s official specifications).

8. Termination of Authorization

1. Violates the price compliance clause (e.g., consistently selling products below the MRP)
2. Sells counterfeit or non-authorized HANQUEELECTRIC products
3. Fails to correct non-compliant behaviors within the required timeframe

9. Disclaimers

1. The Licensor is not liable for any legal or financial risks arising from the Licensee’s non-compliant operations (e.g., consumer disputes due to false promotion, platform penalties due to price violations).
2. This Agreement only confirms the Licensee’s authorized reseller qualification; it does not constitute a partnership, joint venture, or agency relationship between the Licensor and the Licensee.
